PLEASE READ THIS TERMS OF USE AGREEMENT (THE "TERMS") CAREFULLY. BY ACCESSING, BROWSING, OR USING THE EONEBILL.AI WEBSITE, SOFTWARE, OR ANY SERVICES PROVIDED (COLLECTIVELY, THE "SERVICE"), OR BY CLICKING "I AGREE," YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE TERMS, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH Eonebill Inc., AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THE TERMS PERSONALLY OR ON BEHALF OF THE COMPANY YOU HAVE NAMED AS THE USER, AND TO BIND THAT COMPANY TO THE TERMS.

IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

THESE TERMS INCLUDE A CLASS ACTION WAIVER AND A WAIVER OF JURY TRIALS AND REQUIRE BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES.

YOUR RELATIONSHIP WITH EONEBILL.AI IS GOVERNED BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE.

General Provisions

1. DEFINITIONS

"Service" refers to all products and services provided by Eonebill Inc., eonebill.ai, including our website, web application, AI-powered invoice generation tools, client management, payment processing facilitation, automated reminders, and related reporting features.
"User" ("you," "your") means the individual or legal entity, as applicable, identified as the user when you register for the Service.
"Eonebill" ("we," "us," "our") means Eonebill.Inc.
"User Content" means any and all information and content that you submit to, or use with, the Service, including but not limited to your company information, client data (names, emails, addresses, websites), invoice details, line items, service descriptions, financial data, and any text or prompts provided to AI Features.
"AI Features" refers to any component of the Service that utilizes artificial intelligence, machine learning, or similar technologies to generate content, such as parsing natural language to create invoices.
"Payment Processor" refers to the third-party payment processing service (e.g., Stripe) integrated with the Service to facilitate online payments.
"Subscription Plan" means the specific package of services, features, and pricing you have selected.
"Fees" means all subscription fees and transaction fees applicable to your use of the Service.

2. THE SERVICE

2.1. Description

The Service is a cloud-based platform designed to assist freelancers, consultants, and small businesses with their revenue management lifecycle. This includes, but is not limited to, invoice creation, client management, online payment facilitation, invoice status tracking, and related financial reporting.

2.2. License Grant

Subject to your complete and ongoing compliance with these Terms, Eonebill.ai grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

2.3. Modifications to the Service

We reserve the right, in our sole discretion, to modify, suspend, or discontinue the Service, or any part thereof, at any time with or without notice to you. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

2.4. NO ACCOUNTING OR TAX ADVICE

YOU ACKNOWLEDGE AND AGREE THAT EONEBILL.AI IS NOT A FINANCIAL PLANNER, ACCOUNTANT, OR TAX ADVISOR. THE SERVICE (INCLUDING FEATURES LIKE THE 1099 REPORTING ASSISTANT) IS NOT INTENDED TO PROVIDE, AND SHOULD NOT BE RELIED UPON FOR, TAX, LEGAL, OR ACCOUNTING ADVICE. ALL FINANCIAL REPORTS ARE FOR INFORMATIONAL PURPOSES ONLY. YOU SHOULD CONSULT YOUR OWN PROFESSIONAL ADVISORS FOR ADVICE TAILORED TO YOUR SPECIFIC SITUATION.

3. ACCOUNT REGISTRATION AND SECURITY

3.1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business use only.

3.2. Registration

You must provide accurate, current, and complete information during the registration process and keep your account information updated. You may not use a false identity or create an account for anyone other than yourself or your business.

3.3. Email Verification

We require that you verify your email address to activate your account. You consent to receive service-related emails from us.

3.4. Account Security

You are solely responsible for safeguarding your account password and for all activities that occur under your account. You must notify Eonebill.ai immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account.

4. USER CONTENT AND DATA

4.1. Ownership of User Content

You retain all ownership rights, title, and interest in and to your User Content.

4.2. License Grant to Eonebill.ai

You grant Eonebill.ai a limited, worldwide, royalty-free, non-exclusive license to host, copy, process, transmit, display, and use your User Content solely as necessary for us to provide, maintain, and improve the Service in accordance with these Terms and our Privacy Policy.

4.3. Your Responsibility for User Content

You are solely responsible for the accuracy, legality, and appropriateness of all User Content. You represent and warrant that you have all necessary rights, consents, and permissions to submit the User Content to the Service and to grant us the license in Section 4.2.

4.4. Privacy Policy

Our use of your User Content (which includes personal data) is governed by our Privacy Policy, which is incorporated by reference into these Terms.

4.5. Feedback

If you provide us with any suggestions, ideas, or feedback regarding the Service ("Feedback"), you hereby assign to Eonebill.ai all right, title, and interest in and to such Feedback, and we will be free to use, implement, and modify such Feedback without any compensation or obligation to you.

4.6 Data Export

During your subscription term, you may export your User Content (such as client lists and invoice data) in a common format (e.g., .CSV) through the features provided in the Service. You are responsible for maintaining your own backups of your User Content.

5. ARTIFICIAL INTELLIGENCE (AI) FEATURES

5.1. Use of AI Features

The Service includes AI Features that parse your inputs (like natural language prompts) to generate invoice drafts and other content.

5.2. AI CONTENT DISCLAIMER

ARTIFICIAL INTELLIGENCE IS AN EMERGING FIELD. AI-GENERATED CONTENT MAY CONTAIN ERRORS, OMISSIONS, OR INACCURACIES. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING ALL CONTENT GENERATED BY THE AI FEATURES FOR ACCURACY AND APPROPRIATENESS BEFORE SENDING IT TO YOUR CLIENTS OR RELYING ON IT FOR ANY PURPOSE.

5.3. Use of Data for AI Improvement

You agree that Eonebill.ai may use your User Content in an aggregated, anonymized, and de-identified form to train and improve the AI Features and the underlying models of the Service. We will not use your personally identifiable information or non-public client data for this purpose in a way that could identify you or your clients. Our use of all User Content is strictly governed by our Privacy Policy.

6. FINANCIAL TERMS: SUBSCRIPTIONS AND FEES

6.1. Subscription Plans and Fees

The Service is offered through various Subscription Plans (e.g., Monthly, Annual). You agree to pay all Fees applicable to your chosen plan. All Fees are posted on our website.

6.2. Free Trial

We may offer a one-time free trial (e.g., 7 days). We reserve the right to modify or cancel the free trial at any time. If you do not purchase a subscription before the end of your trial, your access to the Service may be suspended or limited.

6.3. Billing and Payment

We use a third-party payment processor (e.g., Stripe) to handle all subscription payments. You must provide a valid payment method. You authorize us to charge your payment method for all applicable Fees.

6.4. AUTOMATIC RENEWAL

TO ENSURE UNINTERRUPTED SERVICE, YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING CYCLE (E.G., MONTHLY OR ANNUALLY). YOU AUTHORIZE US TO CHARGE YOUR PAYMENT METHOD FOR THE RENEWAL TERM'S FEES ON OR AROUND THE RENEWAL DATE.

6.5. Cancellation

You may cancel your subscription at any time through your account settings. Your cancellation will take effect at the end of the current billing cycle. You will not receive a refund or credit for any partial subscription periods or unused time.

6.6. Price Changes

We reserve the right to change our Subscription Plan Fees. We will provide you with reasonable prior notice (e.g., at least 30 days' notice via email or in-app notification) of any price changes. Your continued use of the Service after the price change takes effect constitutes your agreement to pay the modified Fee.

6.7. No Refund Policy

All Fees paid are non-refundable and non-creditable, except as required by law or as otherwise determined by us in our sole discretion.

6.8. Taxes

All Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are solely responsible for the payment of all such taxes (e.g., sales tax, VAT), excluding only taxes based on Eonebill.ai's net income.

7. PAYMENT PROCESSING SERVICES (THIRD-PARTY)

7.1. Facilitation Role

The Service integrates with Payment Processors (e.g., Stripe) to facilitate online payments for your invoices. Eonebill.ai is a platform and is not a bank, money services business (MSB), or payment processor itself. We do not receive, hold, or transmit funds on your behalf.

7.2. Processor Agreement

To use the payment facilitation feature, you must create and maintain an account in good standing with our designated Payment Processor, which will require you to agree to their separate terms of service (e.g., the Stripe Connected Account Agreement).

7.3. Your Responsibility

You are solely responsible for the accuracy and legality of the invoices you send and the goods or services you provide to your clients.

7.4. Fees

The Payment Processor will charge you a separate transaction fee for each payment processed, as detailed in their terms.

7.5. Chargebacks and Disputes

YOU ARE SOLELY RESPONSIBLE for all customer service inquiries, disputes, refunds, and CHARGEBACKS related to your invoices and transactions. Eonebill.ai is not a party to the agreement between you and your client. You agree to indemnify Eonebill.ai for any fees, penalties, or losses we incur as a result of chargebacks or disputes associated with your account.

7.6. Compliance

You must comply with all applicable laws and card network rules (e.g., Visa, Mastercard) related to the payments you accept.

8. ACCEPTABLE USE POLICY

You agree not to (and not to permit any third party to):

(a) Use the Service for any illegal, fraudulent, harassing, or harmful purpose.
(b) Send unsolicited communications, promotions, or "spam" (as defined by applicable law).
(c) Impersonate any person or entity or misrepresent your affiliation.
(d) Violate any applicable law, regulation, or industry-standard rules.
(e) Probe, scan, or test the vulnerability of the Service or its security systems.
(f) Reverse-engineer, decompile, or disassemble any aspect of the Service, including its AI models.
(g) Use the Service for any personal, family, or household purposes.
(h) Interfere with or disrupt the integrity or performance of the Service or the data contained therein.

9. INTELLECTUAL PROPERTY RIGHTS

9.1. Eonebill.ai Property

Excluding your User Content, you acknowledge that all right, title, and interest in and to the Service (including the software, website, AI models, "look and feel," branding, and all trademarks) are and will remain the exclusive property of Eonebill.ai and its licensors.

9.2. Restrictions

You may not (i) copy, modify, create derivative works based on, distribute, sell, lease, or sublicense any part of our Service or its underlying software; (ii) use the Service to store or transmit infringing, unsolicited marketing emails, libelous, or otherwise objectionable, unlawful or tortious material, or to store or transmit material in violation of third-party rights; (iii) interfere with or disrupt the integrity or performance of the Service; (iv) attempt to gain unauthorized access to the Service or their related systems or networks; (v) reverse engineer the Service; or (vi) access the Service to build a competitive service or product, or copy any feature, function or graphic for competitive purposes; (vii) You represent and warrant that: (a) You are not located in a country or location that is subject to U.S. Government sanctions or embargoes, or are a State Sponsor of Terrorism as defined by the US Department of State, or are a person, group or entity that has been designated by the U.S. Government as a Specially Designated National (SDN); (b) You are not listed on any U.S. Government list of prohibited or restricted parties.

10. CONFIDENTIALITY

10.1. Definition

"Confidential Information" means all information disclosed by one party ("Discloser") to the other ("Recipient"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Your Confidential Information includes your User Content; our Confidential Information includes the non-public aspects of the Service.

10.2. Obligations

The Recipient agrees to (i) use the same degree of care to protect the Discloser's Confidential Information as it uses for its own, (ii) not use any Confidential Information for any purpose outside the scope of these Terms, and (iii) limit access to Confidential Information to those who need to know.

11. THIRD-PARTY SERVICES AND LINKS

The Service may contain links to or integrations with third-party websites, applications, and services (such as our Payment Processors). We are not responsible for the content, terms, or privacy policies of such third-party services. Your use of any third-party service is at your own risk.

12. TERM AND TERMINATION

12.1. Term

These Terms commence on the date you accept them and continue as long as you have an account with us or are using the Service.

12.2. Termination by You

You may cancel your subscription and terminate these Terms at any time through your account settings, effective at the end of your current billing cycle.

12.3. Termination by Eonebill.ai

We may suspend or terminate your access to the Service, at our sole discretion, for any reason, including: (a) your breach of these Terms; (b) non-payment of Fees; (c) prolonged inactivity; or (d) to comply with legal requirements or protect the integrity of our Service.

12.4. Effect of Termination

Upon termination, your license to use the Service will immediately cease. You will have ninety (90) days from the effective date of termination to export your User Content. After this 90-day period, we will have no obligation to maintain your User Content and may delete it in accordance with our data retention policies and applicable law.

12.5. Survival

All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation: Sections 1, 4.1, 4.5, 6.7, 7.5, 9, 10, 12.5, 13, 14, 15, 16, and 17.

13. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EONEBILL.AI EXPLICITLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT THE SERVICE (INCLUDING THE AI FEATURES) WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY CONTENT OR REPORTS (INCLUDING AI-GENERATED CONTENT OR TAX REPORTS) WILL BE ACCURATE, COMPLETE, OR RELIABLE. YOU USE THE SERVICE AT YOUR OWN RISK.

14. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EONEBILL.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

(A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES (WHETHER INCURRED DIRECTLY OR INDIRECTLY);
(B) ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES;
(C) DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE;
(D) DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
(E) DAMAGES RESULTING FROM ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT.

IN NO EVENT SHALL EONEBILL.AI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE TOTAL FEES YOU PAID TO EONEBILL.AI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Eonebill.ai and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party right, including any intellectual property or privacy right; or (e) any dispute between you and your client, including any chargebacks or payment disputes.

16. DISPUTE RESOLUTION (MANDATORY ARBITRATION)

16.1. Governing Law

These Terms shall be governed by the laws of the State of Delaware, U.S.A., without regard to its conflict of law principles.

16.2. Agreement to Arbitrate

You and Eonebill.ai agree that any dispute, claim, or controversy arising out of these Terms or the Service shall be settled by binding, individual arbitration, and not in a court of law.

16.3. Arbitration Rules

The arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

16.4. CLASS ACTION WAIVER

YOU AND EONEBILL.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16.5. JURY TRIAL WAIVER

YOU AND EONEBILL.AI WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.

17. GENERAL PROVISIONS

17.1. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with at least fifteen (15) days' notice (e.g., by email or an in-app notification). Your continued use of the Service after the changes take effect constitutes your acceptance of the new Terms.
